Merger by absorption of Banca CF+ into Banca Sistema: authorizations released by the Bank of Italy

Further to the joint press release issued on 24 June 2026 with regard to the approval by the respective Boards of Directors of Banca CF+ S.p.A. (“Banca CF+”), and Banca Sistema S.p.A. (“Banca Sistema”) of the plan for the merger by absorption of Banca CF+ into Banca Sistema (the “Merger”) notice is hereby given that the Bank of Italy has today released the following: (i) authorization pursuant to art. 57 of Legislative Decree no. 385/93 (“TUB”) and related implementing provisions regarding the Merger, as well as (ii) verification pursuant to art. 56 of the TUB and related implementing provisions regarding the statutory changes connected to the Merger.

The Bank of Italy has also stated that it has acknowledged that the newly issued ordinary shares from the capital increase will be classified as CET1 instruments, pursuant to articles 26, paragraph 3, and 28 of Regulation (EU) no. 575/2013.
