This section of the website contains information and documents on the voluntary tender offer (the “Offer”) regarding all the ordinary shares (the “Shares”) of Banca Sistema S.p.A. (“Banca Sistema” or the “Issuer”), including the treasury shares, if any, held from time to time, directly and indirectly, by the Issuer, promoted by Banca CF+ S.p.A. (the “Offeror”), pursuant to articles 102 and ss. of Italian Legislative Decree 58/1998 (“TUF”).

The Offer – announced on June 30, 2025 – is addressed, indiscriminately and on equal terms, to all holders of the Shares and shall be promoted on the Italian market only.

The Offer shall not be promoted or distributed, directly or indirectly, in the United States of America, Australia, Canada, Japan or any other country in which the Offer is not permitted without due authorization from the competent local authorities or would otherwise constitute a violation of applicable laws or regulations (the “Other Countries”), nor by means of international communication or trade instruments (including, without limitation, the postal network, fax, telex, e-mail, telephone and internet) of the United States of America, Australia, Canada, Japan or the Other Countries, nor through any facility of any of the financial intermediaries of the United States of America, Australia, Canada, Japan or the Other Countries, nor in any other manner whatsoever.

The Offer shall be promoted by publishing the relevant Offer Document, subject to prior approval by Consob. The Offer Document shall contain a complete description of the terms and conditions of the Offer, including the procedures for participation.

Before accepting the Offer, the shareholders of Banca Sistema shall read carefully the documents concerning the Offer pursuant to applicable law. Acceptance of the Offer by persons residing in countries other than Italy may be subject to specific obligations or restrictions provided for by law or regulations. It is the sole responsibility of the recipients of the Offer to comply with such rules and, therefore, before accepting the Offer, to verify its existence and applicability by contacting their advisors.

The Offeror shall not be held liable for the violation by any person of any of the aforesaid restrictions.

This section of the website and the documents and/or information contained herein do not constitute and cannot be interpreted as an offer, an invite nor of a solicitation to offer to sell or otherwise acquire, subscribe, sell or otherwise dispose of any Issuer’s financial instruments in any of the Other Countries and are being made available for information purposes only and accessible only to persons who are not domiciled nor are currently located in the Other Countries.
